Junior Corporate Paralegal- Boston, MA

RemX has partnered with their prestigious law firm client to assist with their search for a Jr. Corporate Paralegal.

The Corporate Junior Paralegal will work directly with the corporate team with complex transactions for private and public company clients. This is a hybrid position, working three days in the office and two remote. This is an entry level position.

RESPONSIBILITIES:

  • Assist with the preparation of transaction documents.
  • Prepare and files annual reports for over 500 entities; maintains annual report matrix.
  • Coordinate closings and prepare related documents.
  • Prepare and file entity formation documents.
  • Prepare corporate and securities filings and maintains corporate records.
  • Assist in preparing and filing UCC filings.
  • Assist in preparing guidance memos, maintaining corporate governance records, including internal organizational structure charts, board resolutions and minute books.
  • Prepare stock certificates and maintain capitalization tables.
  • Obtain and file documents with public agencies.
  • Organize and manage electronic and paper files and ensures that all files are maintained in accordance with department protocols and within the case management systems.
  • Perform research using various research tools and other court-related websites for case law, statues, articles, books, etc.

QUALIFICATIONS:

  • Bachelor’s degree.
  • Minimum one (1) year of paralegal experience or equivalent experience.
  • Proficiency in Microsoft Office suite (Word, Outlook, PowerPoint, Excel), and the ability to learn new software programs.
